1. Agreement to Terms
These Terms of Service ("Terms") are a binding legal agreement between you ("Customer," "you," or "your") and DocuJSON, Inc., a Delaware corporation ("DocuJSON," "we," "us," or "our").
By creating a DocuJSON account, accessing the DocuJSON API, or using any DocuJSON website, service, or documentation (together, the "Services"), you agree to these Terms, our Privacy Policy, and any order form, subscription plan, or supplementary agreement you enter into with us (together, the "Agreement").
If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity, and all references to "you" include that entity. If you do not have that authority, or if you do not agree with the Agreement, you must not use the Services.
If you are a consumer using the Services for personal purposes, certain provisions below (especially the mandatory arbitration provision in Section 16) affect your legal rights. Please read carefully.
2. The Services
2.1 What We Provide
DocuJSON is a software-as-a-service platform that converts structured JSON data into PDF documents using pre-built or customer-created templates, delivered via API and web dashboard. The specific features available depend on your subscription plan.
2.2 Accounts
To use the Services, you must create an account with an accurate email address and a secure password. You must be at least 18 years old. You are responsible for:
- All activity that occurs under your account.
- Maintaining the confidentiality of your API keys and login credentials.
- Promptly notifying us at security@docujson.com of any suspected unauthorized access or breach.
We may suspend or terminate accounts that provide false information, attempt to circumvent billing, or violate these Terms.
2.3 Subscription Plans
We offer free, paid, and enterprise subscription tiers. The features, usage limits, support levels, and pricing of each plan are described on our pricing page and in any order form. We may change plan features and pricing at any time, with at least 30 days' advance notice to active paid subscribers before the change affects their plan.
2.4 API and Usage Limits
Your access to the API is governed by the usage limits for your plan (requests per month, rate limits per minute, file size limits, concurrent generations, retention periods). Excess usage may incur overage charges, be rate-limited, or trigger account review. We reserve the right to suspend accounts that exceed usage limits in a manner that threatens Service stability.
2.5 Beta, Preview, and Experimental Features
We may offer beta, alpha, or experimental features ("Beta Features"). Beta Features are provided "as-is," may change or be discontinued at any time, and are excluded from any service-level commitments and warranties. Don't build mission-critical workflows on Beta Features.
3. Fees, Billing, and Auto-Renewal
3.1 Fees
You agree to pay the fees for your selected plan as displayed at checkout, plus any applicable taxes. Fees are charged in US Dollars (USD).
3.2 Billing Cycle
Unless otherwise stated, paid plans are billed monthly or annually in advance. Your payment method will be charged:
- On sign-up for the first billing period.
- On the same day of each subsequent billing period until you cancel.
3.3 Automatic Renewal
Your subscription automatically renews at the end of each billing period at the then-current rate for your plan. You may cancel at any time through your DocuJSON dashboard or by emailing support@docujson.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
In accordance with California's Automatic Renewal Law (Cal. Bus. & Prof. Code §17600 et seq.) and similar laws:
- You may cancel at any time using the self-service cancellation control in your account at https://docujson.com/settings/billing, or by emailing support@docujson.com with "Cancel Subscription" in the subject line.
- We present the renewal terms clearly before you subscribe and obtain your affirmative consent to them.
- We will send a renewal reminder before any annual-plan renewal.
- If we increase your subscription price, we will notify you at least 30 days in advance, and you may cancel before the new price takes effect.
3.4 Taxes
Prices are exclusive of applicable sales tax, VAT, GST, or other taxes, which we will collect and remit where required. If you are exempt, provide a valid exemption certificate at billing@docujson.com.
3.5 Refunds
Except where required by applicable law, fees are non-refundable. We may, in our sole discretion, offer pro-rated refunds or credits for service outages, billing errors, or other extraordinary circumstances. Free-trial charges are fully refundable if cancelled within the trial period.
3.6 Payment Failures
If a payment fails, we will retry over several days and notify you by email. If your account remains unpaid after 14 days, we may suspend or terminate it. You are responsible for any collection costs, including reasonable attorneys' fees, on unpaid amounts after 30 days past due.
3.7 Price Changes
We may adjust plan pricing at any time. Pricing changes apply to renewals only (not to your current billing period) and will be communicated at least 30 days in advance. Continued use after a price change constitutes acceptance.
4. Customer Content and Data
4.1 Definitions
- "Customer Content" means data, JSON payloads, templates, images, logos, text, and other content you submit, upload, or transmit through the Services.
- "Generated Output" means the PDF files and rendered documents produced by the Services from Customer Content.
4.2 Ownership
You retain all rights to your Customer Content and Generated Output. Nothing in these Terms transfers ownership of your content to us.
4.3 License to Us
You grant DocuJSON a limited, worldwide, royalty-free, non-exclusive license to:
- Process, transmit, store, and display Customer Content solely to provide and improve the Services.
- Use Generated Output solely to deliver it to you and maintain short-term caching/retention per our Privacy Policy.
- Use de-identified, aggregated metadata about Service usage to monitor, support, and improve the Services.
We do not use the content of your Customer Content or Generated Output to train generative AI models, except where you explicitly opt in to features that do so (see Section 4.6).
4.4 Your Responsibilities for Customer Content
You represent and warrant that:
- You have all rights, licenses, and consents needed to submit Customer Content through the Services.
- Customer Content does not violate any law, infringe third-party rights, or contain malicious code.
- You will not submit Sensitive Personal Information beyond what is necessary for the Service, and will not submit PHI unless you have entered into a written HIPAA Business Associate Agreement with us.
- You are responsible for any regulatory obligations (GDPR, CCPA/CPRA, HIPAA, PCI DSS, etc.) that apply to your use of the Services.
4.5 Retention
Generated Output retention depends on your subscription plan and product configuration; detailed retention is described in the Privacy Policy.
4.6 AI Template Generation
Our custom-template features use third-party large language models routed through Vercel AI Gateway or another configured AI provider to generate HTML templates from your prompts and reference materials. The model provider may vary by feature configuration and may include providers such as Alibaba, Google, Anthropic, or OpenAI. When you use these features:
- You acknowledge that the prompts, reference images, and sample data you submit are transmitted to the model provider for processing.
- You must not submit real customer data, PHI, or personally identifiable information in sample data payloads. Use representative fake data only.
- Generated template code is your property, subject to any residual rights in the underlying model weights or platform.
4.7 Feedback
If you send us feedback, suggestions, or ideas about the Services, we may use them without restriction. You grant us a perpetual, royalty-free, worldwide license to use your feedback to improve the Services.
5. Acceptable Use
You agree not to use the Services for any purpose described below. We may suspend or terminate accounts that violate this Section, remove or refuse to generate offending content, and report illegal content to authorities as required by law.
5.1 Prohibited Content
You may not use the Services to generate, store, transmit, or display content that:
- Is illegal, defamatory, fraudulent, or deceptive.
- Infringes intellectual property, publicity, privacy, or other third-party rights.
- Exploits or harms minors.
- Depicts or facilitates violence, self-harm, or non-consensual sexual content.
- Is hateful, harassing, discriminatory, or incites violence.
- Contains malware, viruses, or other harmful code.
- Constitutes or facilitates spam, phishing, or social engineering.
- Violates export controls or sanctions.
5.2 Prohibited Activities
You may not:
- Circumvent or attempt to circumvent rate limits, usage caps, API authentication, or billing controls; or use multiple accounts to evade suspensions or plan limits.
- Resell, rent, or redistribute API access without our written authorization.
- Scrape, crawl, or harvest data via methods not documented in our API reference.
- Probe or test the security of any system or network, access accounts or data without authorization, or interfere with or disrupt the Services (e.g., denial-of-service attacks).
- Reverse engineer, decompile, or attempt to derive the source code of the Services, or build a competing product by replicating the Services.
- Use our branding, trademarks, or messaging to imply endorsement or partnership without written authorization.
5.3 Prohibited Data
You may not:
- Submit PHI without a signed Business Associate Agreement with DocuJSON (we do not currently sign BAAs — HIPAA support is on our roadmap).
- Submit payment card numbers, Social Security numbers, government IDs, biometric data, or financial account numbers in request payloads.
- Submit personal data of individuals you do not have the legal right to process.
5.4 No Fraudulent or Impersonating Documents
You may not use the Services to generate fraudulent invoices, receipts, tax documents, official forms, or government communications intended to deceive, or to generate documents that impersonate another business, individual, or government agency.
5.5 Enforcement
Depending on severity, we may warn you, suspend specific features, suspend or terminate the account (without refund for serious violations), report to law enforcement, and seek legal remedies. For serious violations (e.g., child-exploitation content, active attacks, systemic fraud), we may act without prior warning. To report a violation by another user, email abuse@docujson.com.
6. Privacy
Our Privacy Policy describes how we collect, use, store, and disclose personal information. By using the Services, you agree to the practices described there. For customers who process personal data of their own end-users through the Services, a separate Data Processing Addendum (DPA) is available and, where applicable, is incorporated by reference.
7. Intellectual Property
7.1 DocuJSON IP
All rights in the Services, software, APIs, documentation, templates (other than customer-created templates), branding, logos, and related intellectual property are owned by DocuJSON or our licensors. These Terms do not transfer any ownership to you, except for the specific limited rights to use the Services granted here.
7.2 Your IP
Customer Content and Generated Output remain your property. Any customer-created custom template content you author is also yours, subject to underlying model and platform residual rights noted in Section 4.6.
7.3 Trademarks
"DocuJSON" and the DocuJSON logo are trademarks of DocuJSON, Inc. You may factually reference DocuJSON in user-facing materials (e.g., "Powered by DocuJSON") only if your use is truthful and not misleading. You may not use our marks in any way suggesting endorsement or partnership without our prior written consent.
7.4 Copyright Infringement Claims (DMCA)
If you believe content available through the Services infringes your copyright, send a notice to dmca@docujson.com that complies with 17 U.S.C. § 512(c)(3). We will respond to valid takedown notices and may terminate repeat infringers' accounts.
8. Third-Party Services
The Services integrate with and depend on third-party services (e.g., Vercel, Supabase, AWS, Stripe, Sentry, Vercel AI Gateway, and configured AI model providers — see our Sub-processor List). We do not control third-party services and are not responsible for their acts, omissions, or data practices except to the extent we agreed to with them in sub-processor agreements.
9. Service Availability and Support
The Services are provided on a commercially reasonable, "as available" basis. We do not guarantee uninterrupted availability for free or trial plans. Any uptime commitments or service credits, if offered, apply only to paid Business or Enterprise plans and are set out in a separate Service Level Agreement or your order form. Support availability and response targets depend on your plan and are documented at https://docujson.com/support.
10. Security; No HIPAA/PCI/SOC 2 Certification (Yet)
We implement commercially reasonable administrative, technical, and organizational measures to protect Customer Content. Our current security posture is described on our Security page.
DocuJSON is not currently HIPAA compliant. We do not sign Business Associate Agreements and are not authorized to process Protected Health Information. Do not submit PHI. HIPAA compliance is on our roadmap but not yet available.
DocuJSON has not completed a SOC 2 audit. SOC 2 readiness is planned; details are on our Security page.
PCI DSS: We do not store raw payment card data. All payment processing is handled by Stripe, a Level 1 PCI Service Provider. Do not submit cardholder data through the Services.
11. Confidentiality
If either party receives non-public information from the other ("Confidential Information"), the receiving party will (a) use the information only for the purposes of the Agreement, (b) protect it with at least the same degree of care it uses for its own confidential information (but no less than reasonable care), and (c) not disclose it except to its employees, contractors, and advisors under similar confidentiality obligations. Confidentiality obligations survive termination for 3 years (or perpetually, for trade secrets).
12. Suspension and Termination
12.1 By You
You may cancel your subscription or delete your account at any time via your dashboard or by emailing support@docujson.com.
12.2 By Us
We may suspend or terminate your access:
- Immediately if you breach these Terms (including the Acceptable Use section) or law.
- Immediately if necessary to comply with a legal order or protect the Services, other customers, or third parties.
- With 30 days' notice for any reason or no reason (in which case we'll prorate and refund any pre-paid, unused subscription fees).
12.3 Effect of Termination
Upon termination:
- Your access ceases.
- We may delete your Customer Content and Generated Output after a reasonable period.
- Sections 4 (rights retention), 7 (IP), 11 (Confidentiality), 13 (Disclaimers), 14 (Indemnification), 15 (Limitation of Liability), 16 (Dispute Resolution), and 17 (Miscellaneous) survive.
12.4 Data Export
Within 30 days after termination, you may request a copy of your retained Customer Content and Generated Output via support@docujson.com. After that, we may delete it.
13. Warranties and Disclaimers
13.1 Limited Warranty
We warrant that the Services will materially conform to documentation. Our sole obligation, and your exclusive remedy, for a breach of this warranty is that we will correct the non-conformance, and if we cannot reasonably do so, terminate the affected Service and refund pro-rated prepaid fees.
13.2 Disclaimer
EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT GENERATED OUTPUT WILL MEET YOUR SPECIFIC REQUIREMENTS.
Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you. In that case, implied warranties are limited to the shortest period permitted by law.
14. Indemnification
14.1 By You
You will defend, indemnify, and hold DocuJSON harmless from any third-party claim arising from:
- Your use of the Services in violation of the Agreement or law.
- Your Customer Content.
- Your acts or omissions that cause a security incident on your systems.
14.2 By Us
We will defend you from third-party claims that the Services as provided (excluding your Customer Content) infringe a third party's intellectual property rights, and pay costs and damages finally awarded by a court of competent jurisdiction or in a settlement approved by us, provided you (a) promptly notify us of the claim, (b) give us sole control of the defense, and (c) reasonably cooperate.
If we believe the Services may infringe, we may (i) procure the right for you to continue using the Services, (ii) modify the Services to be non-infringing, or (iii) terminate the affected Services and refund pro-rated prepaid fees. This Section 14.2 states our sole liability and your exclusive remedy for IP infringement by the Services.
14.3 Exclusions
Neither party has indemnification obligations for claims to the extent resulting from modifications by the other party, use in combination with products not provided by DocuJSON, use in violation of the Agreement or law, or Beta Features.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
15.1 Exclusion of Certain Damages
NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF INFORMED IN ADVANCE THAT SUCH DAMAGES MIGHT OCCUR.
15.2 Liability Cap
EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS ($100).
15.3 Exceptions
The exclusions and cap in Sections 15.1 and 15.2 do not apply to:
- Your payment obligations.
- Your breach of Section 7 (Intellectual Property) or Section 5 (Acceptable Use).
- A party's indemnification obligations under Section 14.
- Either party's gross negligence, willful misconduct, or fraud.
15.4 Basis of the Bargain
The parties agree these limitations are an essential part of the bargain. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.
16. Dispute Resolution; Arbitration; Class Action Waiver
READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to sue in court and participate in a class action.
16.1 Informal Resolution
Before filing any claim, you agree to try to resolve the dispute informally by emailing legal@docujson.com with a description of the claim and the relief sought, and to wait 60 days before initiating any formal proceeding.
16.2 Binding Arbitration
Except for claims (a) for injunctive relief, (b) in small-claims court within each party's jurisdictional limit, or (c) for intellectual property infringement, any dispute arising out of or relating to the Agreement or the Services will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules (or Comprehensive Rules, for disputes over $250,000). The arbitration will take place in San Francisco, California, and the arbitrator's decision will be final.
16.3 Class Action Waiver
YOU AND DOCUJSON AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
16.4 30-Day Opt-Out
You may opt out of this Section 16 within 30 days of first accepting these Terms by sending written notice to legal@docujson.com with your name, email, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other provision of the Agreement.
16.5 Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles, except that the arbitration provision is governed by the Federal Arbitration Act. For claims not subject to arbitration, you and DocuJSON submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
16.6 Export Controls and Sanctions
You represent that you are not located in, nor a national or resident of, any country subject to a US government embargo, and you are not on any US government list of prohibited or restricted parties. You agree not to use the Services in violation of US export control laws.
17. Miscellaneous
17.1 Entire Agreement
The Agreement is the entire agreement between you and DocuJSON on this subject and supersedes all prior agreements and communications.
17.2 Amendments
We may update these Terms by posting a new version at https://docujson.com/terms and updating the "Last Updated" date. For material changes, we'll notify you by email or in-product notice at least 30 days before the change takes effect. Continued use after the effective date constitutes acceptance.
17.3 Assignment
You may not assign the Agreement without our written consent. We may assign it to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of our assets, on notice to you.
17.4 Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control (e.g., natural disasters, war, terrorism, labor unrest, internet or cloud-provider outages, government action).
17.5 Severability
If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
17.6 No Waiver
Failure to enforce any right is not a waiver of that right.
17.7 No Third-Party Beneficiaries
The Agreement does not create any third-party beneficiary rights.
17.8 Relationship
The parties are independent contractors. The Agreement does not create any agency, partnership, joint venture, or employment relationship.
17.9 Notices
Legal notices to DocuJSON must be sent to legal@docujson.com. If a physical mailing address is required for a legal notice, request the current notice address at legal@docujson.com. We will send notices to you at the email address on your account.
17.10 Government Customers
If you are a US federal, state, or local government entity, additional terms apply; contact legal@docujson.com.
17.11 Language
The Agreement is in English. Any translation is provided for convenience; the English version controls.
